Agreement to Terms & Corporate Entity

Welcome to RexPia. All associated web platforms, automated workflow modules, digital template collections, and enterprise services are officially owned, operated, and legally maintained by REXX Holdings LLC (a registered Wyoming Limited Liability Company, USA).

By interacting with the RexPia platform, purchasing digital products, or engaging our custom development services, you enter into an absolute, legally binding contract governed by these Terms of Service (“Terms”). If you do not agree to all provisions of these Terms, you are expressly prohibited from accessing or utilizing our services.

1. Authorized Use & Prohibited Operations

Users are granted a non-exclusive, non-transferable, revocable limited license to access RexPia for legitimate personal or business growth purposes. You are explicitly prohibited from:

• System Misuse: Deploying automated extraction architectures, scrapers, or malicious scripts to siphon structural content, proprietary n8n workflows, or database assets from our servers.
• Competitive Exploitation: Re-engineering, decompiling, or utilizing RexPia’s proprietary templates or workflow codes to construct direct competitive digital products or platforms.
• Network Disruption: Interfering with host server infrastructure, overloading edge APIs (Cloudflare), or attempting unauthorized access to system endpoints.

2. Intellectual Property Rights & Asset Ownership

All proprietary assets—including source code arrangements, custom n8n workflow frameworks, UI layout designs, prompt engineering libraries, trade names (including “RexPia” and “REXX Holdings LLC”), logos, and unique content structures—are the exclusive legal property of REXX Holdings LLC.

These assets are protected by United States federal and international copyright, trademark, and intellectual property jurisprudence. Unauthorized reproduction, resale, or distribution of unpurchased assets is strictly prohibited.

3. Digital Product Licenses & Commercial Orders

When you purchase digital products, prompt playbooks, n8n workflow JSON packs, Notion master workspaces, or custom service deliverables from RexPia:

• Single License Grant: Solo tier purchases grant a single-named user commercial execution license. Multi-seat team licenses authorize up to 10 designated operators. Enterprise tier grants entity-wide unlimited internal deployment.
• Custom Services Deliverables: Custom-developed web apps, automated workflows, and tailored creative assets become your property for commercial use upon full settlement of contract fees.
• Payment Processing: Commercial acquisitions are securely processed via PCI-certified third-party payment gateways (Gumroad, PayPal, and Payoneer). REXX Holdings LLC does not store full payment credential details.

4. Digital Products & Strict All Sales Final Policy

Due to the non-tangible, irrevocable, and immediately accessible nature of proprietary digital assets (including but not limited to downloadable PDF guidebooks, Notion workspace databases, prompt engineering architectures, custom GPT system instructions, and n8n JSON automation workflow files), ALL SALES ARE STRICTLY FINAL AND NON-REFUNDABLE (NO CASH REFUNDS, NO STORE CREDITS, AND NO EXCHANGES) upon delivery.

• Strict No Refunds & No Store Credits: REXX Holdings LLC does not issue cash refunds, payment reversals, store credits, or product exchanges under any circumstances. This includes, without limitation, buyer’s remorse, change of mind, subjective satisfaction, lack of third-party software compatibility, or unutilized deliverables. Once access is granted, the transaction is legally non-reversible.
• Statutory Right of Withdrawal Waiver: In accordance with global digital commerce statutes and the European Union Consumer Rights Directive (Article 16(m)), you expressly acknowledge, understand, and agree that any statutory right of withdrawal, cancellation, or cooling-off period is fully and irrevocably waived the moment digital delivery initiates, file downloads commence, or Notion workspace duplication links are accessed.
• Technical Support & Delivery Assurance: While transactions are strictly non-refundable, REXX Holdings LLC provides 100% technical delivery support. If you experience technical defects, corrupted download archives, or broken access links, our engineering support desk at [email protected] will promptly provide verified replacement links to ensure complete asset delivery.
• Prohibition of Chargebacks & Statutory Civil Damages: Initiating an unauthorized payment dispute, fraudulent chargeback, or bank reversal following the receipt of proprietary digital files constitutes a material breach of this Agreement. Any chargeback attempt immediately revokes all granted single-seat, team, and enterprise commercial licenses. Continued retention, execution, or client deployment of RexPia intellectual property post-chargeback constitutes willful copyright infringement under Title 17 of the United States Code (17 U.S.C. § 504), subjecting the violator to statutory civil damages up to $150,000 per infringed work, plus mandatory legal and recovery fees.

Under no statutory, contractual, or tortious theory shall REXX Holdings LLC, or its executives, officers, employees, and designated operational agents, be held legally liable for any indirect, incidental, punitive, collateral, or consequential financial damages arising out of your utilization of the RexPia brand, software workflows, or platform assets.

7. Governing Law & Exclusive Jurisdiction

These structural Terms and any operational litigation originating from interactions with RexPia shall be explicitly governed, interpreted, and enforced under the strict substantive statutes of the State of Wyoming, USA.

Any formal legal process or arbitration must be filed exclusively within competent state or federal courts physically situated within the State of Wyoming, USA.
